1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the website operated at ecorpit.com (the "Website") by eCorp Information Technologies Private Limited ("eCorpIT", "we", "our", or "us").

By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Statement and Cookie Policy. If you do not agree, please do not use the Website.

These Terms apply only to your use of the Website. Services delivered by eCorpIT under engagement contracts are governed by separate signed agreements (Master Services Agreement, Statement of Work, Data Processing Agreement, and other agreed documents). In the event of any conflict between these Terms and a signed engagement contract, the engagement contract prevails for engagement-related matters.

You may use the Website only if you are at least 18 years old (or the applicable age of majority in your jurisdiction) and capable of forming a legally binding contract. By using the Website, you represent and warrant that you meet these requirements. The Website is directed at business users seeking information about eCorpIT's services. It is not directed at children.

4. Permitted use

You may use the Website for lawful purposes only, including:

  • Submitting project estimate requests and business inquiries

The eCorpIT name, the eCorpIT logo, and other eCorpIT marks and brand elements are trademarks of eCorp Information Technologies Private Limited. You may not use these marks without our prior written permission.

6.2 Limited license to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for the permitted purposes set out in Section 4. This license does not include any right to copy, modify, distribute, sell, lease, or create derivative works of any part of the Website.

6.3 Third-party content and client logos

The Website may include content owned by third parties (for example, partner logos, embedded videos, or quotations). Client names, logos, case studies, screenshots, and project descriptions are displayed only where permitted by the client or where the information is publicly available. All third-party trademarks remain the property of their respective owners.

9.1 Technical and professional advice disclaimer

Website content relating to cybersecurity, artificial intelligence, digital marketing, cloud infrastructure, data analytics, technology implementation, or any other technical or professional discipline is provided for general informational purposes only and does not constitute professional, legal, financial, security, or technical advice for any specific system, business environment, or use case. You should not act on such information without seeking specific professional advice from qualified advisors.

9.2 No guarantee of marketing or performance outcomes

Any case studies, examples, rankings, traffic figures, lead estimates, ROAS figures, conversion-rate examples, performance claims, or marketing outcomes mentioned on the Website are illustrative only. 10. Limitation of liability

WITHOUT LIMITING THE FOREGOING, eCorpIT'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE (UNDER ANY LEGAL THEORY, INCLUDING CONTRACT, TORT, NEGLIGENCE, OR STRICT LIABILITY) WILL NOT EXCEED INDIAN RUPEES 5,000 (INR 5,000), UNLESS A HIGHER MINIMUM AMOUNT IS REQUIRED UNDER APPLICABLE LAW.

  • Your violation of any applicable law or third-party right
  • Information you submit through the Website that is false, misleading, or infringing

12. Termination and suspension

15. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.

The courts at Gurugram, Haryana, India will have exclusive jurisdiction over any dispute, claim, or matter arising out of or in connection with these Terms or your use of the Website. You consent to the personal jurisdiction of such courts and waive any objection based on forum non conveniens.

If you are using the Website from outside India, you are responsible for compliance with applicable local laws. We make no representation that the Website is appropriate or available in any particular location.

16. Dispute resolution

Before initiating any legal proceeding, the parties will attempt in good faith to resolve any dispute, controversy, or claim arising out of or in connection with these Terms through informal negotiation. Either party may initiate negotiation by providing written notice to the other party describing the dispute. If the dispute is not resolved within 30 (thirty) days of the notice, the parties may proceed to litigation in accordance with Section 15 (Governing law and jurisdiction).

17. General provisions

17.1 Entire agreement

These Terms, together with the Privacy Statement and Cookie Policy, constitute the entire agreement between you and eCorpIT regarding the Website and supersede all prior agreements or understandings on that subject.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the parties' original intent.

17.3 No waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

17.5 Notices

Notices to eCorpIT under these Terms should be sent to legal@ecorpit.com with a copy by post to our registered office. Notices to you will be sent to the email address you provided or by prominent posting on the Website.

17.6 No agency

Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and eCorpIT.

17.7 Force majeure

eCorpIT will not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil disturbance, government action, labor disputes, internet or telecommunication failures, or cyberattacks.
